Terms of Service

These Terms of Service ("Terms") govern your access to and use of AIGENTIC Flows' website and our multi-tenant business operating platform (the "Service"). By creating an account, starting a trial, or otherwise using the Service, you agree to these Terms on behalf of yourself and the organization you represent (your "Agency").

AIGENTIC Flows is operated by Christopher Garcia.

1. The Service

AIGENTIC Flows is a white-label, multi-tenant business operating platform. Every Agency's workspace includes a shared Core Platform — Contacts, Companies, Deals & Pipeline, a team directory, Tasks, a unified Calendar, shared Tags, an activity log, marketing automation, email campaigns, and Facebook Lead Ads capture. Agencies in the insurance industry may additionally have the Insurance Solution Pack, which adds Policy management, Production tracking and import, a Recruitment pipeline, and advisor-specific organizational features. What appears in your workspace depends on your role and which Solution Pack, if any, your Agency has.

We may add, change, or remove features over time. These Terms describe the Service as currently offered and do not represent a commitment to deliver any specific future feature.

2. Accounts and eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. Workspaces are currently provisioned by AIGENTIC Flows directly, or created through our self-serve trial signup. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account credentials.

3. Roles and responsibilities within your Agency

Each person your Agency invites is assigned a role — Owner, Manager, Advisor, or Recruiter — which determines what they can see and do in the workspace. Your Agency's Owner(s) are responsible for assigning roles appropriately, managing team membership, and ensuring that access to client data is granted only to people authorized to have it.

4. Free trial

We currently offer a 14-day free trial to new Agencies signing up through our website. We may modify or end the trial offer, or the length of the trial period, at any time without notice for future signups. At the end of a trial, continued use of the Service requires an active subscription arranged with us directly.

5. Subscription plans

Beyond the free trial, the Service is offered under several subscription tiers (currently: Starter, Growth, Business, Pro, and Enterprise), each with different Solution Pack and feature allowances. Plan changes, seat counts, and billing arrangements are currently handled directly with your AIGENTIC Flows account contact rather than through a self-serve checkout. Enterprise and Partner Program customers may have separate commercial arrangements that supplement these Terms.

6. Your data

As between you and us, your Agency owns the client, contact, and business data your team enters into your workspace ("Customer Data"). You grant us a license to host, store, and process Customer Data solely to provide the Service to you, as described in our Privacy Policy. We do not use Customer Data for any other purpose, including training any product on data across Agencies without authorization.

You are responsible for the accuracy of Customer Data you enter and for having the legal right and any necessary consents to collect, store, and process it — including client data captured through a connected Facebook Lead Ads form, and recipients of email campaigns sent through the Service.

7. Acceptable use

You agree not to:

• Use the Service to violate any applicable law, including data protection laws governing the personal information of your clients.
• Attempt to access another Agency's workspace or data without authorization.
• Send unsolicited communications through the Service in violation of applicable anti-spam law, or in violation of a recipient's unsubscribe request.
• Reverse-engineer, resell, or use the Service to build a competing product.
• Interfere with or disrupt the integrity or performance of the Service.

8. Third-party integrations

If you connect a third-party service to your workspace — currently, Facebook Lead Ads — your use of that integration is also governed by that provider's own terms. We are not responsible for the availability, content, or practices of third-party services you choose to connect.

9. Suspension and termination

We may suspend or terminate your Agency's access to the Service if your subscription lapses, if we reasonably believe these Terms have been violated, or as otherwise agreed in your subscription arrangement. A suspended Agency's members lose sign-in access until the Agency is reactivated; Customer Data is not deleted solely because of a suspension. You may stop using the Service at any time; certain provisions of these Terms (including data handling, liability, and dispute terms) survive termination.

10. Intellectual property

AIGENTIC Flows and its licensors own all right, title, and interest in the Service, including its underlying software, design, and branding tools (excluding your own Agency's branding assets that you upload). These Terms do not grant you any rights to our trademarks or branding except as needed to use the white-label features of the Service for your own Agency.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIGENTIC FLOWS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

13. Indemnification

You agree to indemnify and hold AIGENTIC Flows harmless from any claims, damages, or expenses arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law, including data protection obligations owed to your own clients.

14. Governing law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles, unless a separate written agreement between you and AIGENTIC Flows states otherwise.

15. Changes to these Terms

We may update these Terms from time to time. We will update the effective date above when we do, and, where changes are material, provide additional notice before they take effect.
